These Terms and Conditions (the “Terms”) are a legal contract between MedPrestige OÜ, company incorporated under the laws of Republic of Estonia (“Express Doctor”, “We”, “Us”, the “Company”) and “you”. The Terms explain how you are permitted to use the services provided by and the Website located at: https://express.doctor/ (the “Website”, the “Platform”).

The Website is intended for use by individual users, legal entities and other potential customers (the ‘User’), looking to avail information services in the form of reviews and second opinions from healthcare experts. Such services shall be provided by independent healthcare experts in respective service fields (“Experts” or “Service Providers”).

The User expressly understands and accepts in full and unconditionally the provisions of these Terms and agrees to use the Services in strict compliance with them. Users who have an account created on the Platform understand and accept that the continued use of their account, as well as any further accessing or visiting the Platform, any page on it and/or using the Services, as well as any component thereof, constitutes a full and unconditional acceptance of the Terms and any provision thereof.

If you do not agree with the provisions of these Terms, please do not use the Services offered by the Platform. Non-acceptance of these Terms, or any of their provisions, as they are formulated herein, entails the User's obligation to immediately stop accessing the Platform.

At the same time, by accessing the Platform, the User certifies to the Company that he is at least the legal age of majority in the jurisdiction where you reside and you have the legal authority to enter into this contract.

For the purposes of the Terms and Conditions, the terms listed below shall be defined as follows:

“Platform” or “Express Doctor” means the Platform located at https://express.doctor/ (Website) and/or a mobile application known as "Express Doctor" including iOS and Google Play versions and such other mobile applications and/or versions thereof as the Company may from time to time launch, operate and maintain;

“Platform Administrator” shall mean MedPrestige OÜ, company registered under the laws of Republic of Estonia (reg. number 16913895) having its registered address at Harju maakond, Tallinn, Kesklinna linnaosa, J. Vilmsi tn 47, 10115, also referred to as “Company”, “We”, “Us”.

“Service/Services” shall mean any service/services offered on the Platform;

“Content” shall mean content, text, data, graphics, images, photographs, video, audio, information, suggestions, guidance, and other materials provided, made available or otherwise found through the Services and/or Website, including, without limitation, Content provided in direct response to your questions;

“User” shall mean any person (individuals or legal entities) who visits or accesses the Platform seeking information on Service Providers. Unless expressly specified otherwise, reference to the User shall also deem to include reference to the relatives/guardian or any other authorized representative of a User;

“Experts” shall mean collaborating experts, medical practitioners, chemists, diagnostic services, hospitals, and other medical service providers who provide answers to the Users’ questions and inquiries via Platform. “Experts” shall also be referred to as “Service Providers”

1. What We Do

Express Doctor is an online marketplace where Users may meet and interact with Experts for provision of consulting services. The consulting services offered by Experts through the Platform are limited to medical recommendation of a general nature, with an informative purpose and offered exclusively on the basis of the information transmitted by the User, without being assimilated to a physical medical consultation, carried out through one's personal physical examination in public health facilities or private.

The Content on the Website is for informational purposes only. The Content is not intended to be substitute for professional medical advice, diagnosis, or treatment.

The medical recommendations provided by Experts through the Platform contain general information regarding certain medical conditions and should not be interpreted as a physical medical consultation. The User undertakes to transmit to the Expert all the relevant information regarding the state of health, the medical history, the treatment he is under, the results of the analyzes or investigations carried out previously or the existence of known conditions. The User assumes full responsibility for the correctness and completeness of such information provided to the Experts and understands that the accuracy and correctness of the answers received from the Experts depends on the information provided by the User.

The Company hereby clarifies and the User agrees and understands that the Company is not a medical service provider of any description, and that it is only a Medical Services Aggregator/Information Provider for prospective users and other potential customers looking to avail information services in the form of reviews and second opinions from healthcare experts and will not be liable for any services or lack of them by the Medical Services booked by the User. It is hereby further clarified that the Company and Service Providers are separate and independent entities and the Company does not work as a representative or agent of the Service Provider.

Although Express Doctor undertakes all reasonable steps to provide information as useful, accurate and adapted to the needs of Users as possible, due to the limitations inherent in online interactions, the general medical recommendation offered through Express Doctor does not intend to, nor can it replace, diagnostic and treatment operations through direct physical doctor-patient interaction during a physical medical consultation, carried out in person. Precisely for this reason, the Services provided through the Platform do not represent forms of diagnosis and treatment and should not be considered by Users as an alternative to physical consultation in public or private health facilities, but exclusively as a supplement to them, for informative and educational purposes.

We make no guarantees, representations or warranties, whether expressed or implied, with respect to professional qualifications, expertise, quality of work, price or cost information, insurance coverage or benefit information, or any other content relating to Experts or third-party service providers available through the Website or Services. In no event shall Express Doctor be liable to you or anyone else for any decision made or action taken by you in reliance on any such content. Furthermore, we do not in any way endorse or recommend any Expert, third party service provider, individual, or entity listed or accessible through the Website or Services.

THE WEBSITE AND SERVICES ARE NOT SUITABLE FOR TREATMENT (INCLUDING EMERGENCY TREATMENT). IF YOU EXPERIENCE A MEDICAL EMERGENCY, CONTACT LOCAL HEALTHCARE PROFESSIONALS OR PUBLIC HEALTHCARE SERVICE.

2. Website Terms

The Website assists Users to find and communicate with Experts. Users can also use the Website to submit inquiries to Experts.

Express Doctor does not need and does not specifically request, control, store or otherwise process any type of medical or health information relating to Users.

To the extent you provide us with personal information, whether health-related or otherwise, you agree that Express Doctor may share such information with Service Providers you select only as strictly necessary to provide the Services. Personal information you provide will be handled consistent with our Privacy Policy.

Although, as a User, you are able to search for Experts and send inquiries by creating a User account with Express Doctor you are able to connect with Service Providers and benefit of all the range of services provided by us without having to repeat the procedure of filling out your basic details in the account. Each account may only be used by one User. You acknowledge that your account is personal to you and you are expected to treat your account as confidential. You agree to provide accurate, current and complete information about yourself as prompted by the registration form.

It is the Service Provider’s responsibility to ensure that their profile, doctor listing and doctor profiles are up to date, Express Doctor will not be responsible for any inaccurate, incomplete, or outdated profile information for a Service Provider.

You represent that you meet both requirements: а) you are at least 18 years old; b) you are at least the legal age (age of majority) under the laws of jurisdiction you reside and you have the legal authority to enter into this Contract.

3. Restricted Use

You agree not to use the Services or Website in any unlawful, infringing, tortuous or harmful manner; in any way that violates another party's intellectual property, privacy or other rights; or in any way that otherwise interferes with the operation, use or enjoyment of any service, system or other property.

Without limiting any of the foregoing, you agree that you shall not (and you agree not to allow any third party to):

• Make any fraudulent applications;
• Use the Website for any purpose that is unlawful, illegal or forbidden by law or to promote or advocate any illegal activity including but not limited to copyright infringement or computer misuse;
• Remove any copyright and other proprietary notices contained in any Content on the Website;
• Conduct any activity that is harmful or detrimental to the Website as solely determined by Express Doctor
• Post any information, images or content that is obscene, sexually explicit or contains nudity, indecent, defamatory, hateful or intolerant in nature or in violation of the laws of any jurisdiction;
• Falsely represent yourself as another person or as a representative of a business or entity that you do not actually represent or give the impression that posts come from a healthcare professional, if that is not the case;
• Falsely represent your professional or business credentials or professional background;
• Change the Content in any capacity or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose except as permitted herein;
• Use any automated scripts or “robots” to access, copy, or manipulate any content provided on this site;
• Engage in denial of service attacks upon the servers that publish this Website;
• Promote or incite any violence;
• Promote or provoke any discrimination (including but not limited to that which is based on race, sex, religion, nationality, disability, sexual orientation or age);
• Breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
• Register more than one account or create any alternative accounts;
• Engage in any activity that in our opinion could be harmful to the health or wellbeing of another Customer;
• Advertise or promote products or services on the Website or use the site for any commercial purpose.

The User also agrees not to:

• Fraudulently or intentionally misuse the Services, including without limitation scheduling an appointment with a Service Provider which you do not intend to keep; and
• Create user accounts, submit inquiries, book appointments or submit posted information by automated means or under false or fraudulent pretences.

4. Suspension and termination of User account or access to Website

Express Doctor will determine, at its discretion, whether there has been a breach of this Contract. If we so determine, we may take such action as we deem appropriate, which may include any or all of the following actions:

• Temporary suspension or permanent withdrawal of your right to use the Website or account.
• Temporary or permanent removal of any posting or material uploaded by you to our Website.
• Issuing a warning to you.
• Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
• Further legal action against you.
• Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

The responses described in this policy are examples, and we may take such other actions as we may reasonably deem appropriate.

5. Submitted content

The User is solely responsible for Content or User Data provided on the Website or through other means of communication and this is provided at the User’s own risk. Express Doctor disclaims any liability, responsibility for any Content or User Data provided by the User.

6. Payment terms

In cases determined by the Platform Bookings shall be made either through the payment gateway on the Website or directly to the account of Service Provider.

If payment is made through the payment gateway on the Website the Company shall act as a limited sole payment collection agent; the payments as agreed upon between the Company and the Service Provider(s), shall be routed to the respective Service Providers by the Company.

User would also have the option to pay directly to the service provider with the prior notification to the Company on the fees paid.

With regard to paid Services available through the Platform, the User undertakes to pay in advance to the Platform Administrator the fee for those Services, according to the information available on the Platform. A User will be able to access the respective Services according to the provisions of these Terms and according to the information available on the Platform only after authentication and payment of the appropriate fees.

The Platform Administrator reserves the right to change the rates for any of the Services and to establish new rates at any time at its sole discretion. Any change in rates will become operative immediately after its display on the Platform, according to the option of the Platform Administrator. Thus, the change in rates will only affect Services purchased after the new rates are displayed on the Platform.

We do not provide bills for tax deduction purposes.

7. Assignment by the Company

The Company may at any time assign to a third party the rights and obligations arising from the provisions of these Terms and Conditions, including by assigning the Contract (Terms and Conditions) to a third party, and the User consents to this assignment in advance.

Severability

The Parties hereto agree that each of the provisions contained in this Contract shall be severable, and the unenforceability of one or more provisions of this Contract shall not affect the enforceability of any other provision(s) or of the remainder of this Contract. In such case the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the contract shall continue in effect.

8. Choice of law and Jurisdiction

Express Doctor controls and operates this Website from its headquarters in the Republic of Estonia and the Content or Services may not be appropriate or available for use in other locations. If you are accessing this Website from outside of the Republic of Estonia then: (i) we make no representations that the content of this Website will be suitable for your requirements or that it is permissible or legal for you to access the same; and (ii) your use of the Website is entirely at your own risk and you are responsible for ensuring that you act in accordance with any applicable laws.

Arbitration agreement. We will undertake all reasonable efforts to resolve any issue you have with Website, including Services offered through the Site, if you bring that issue to the attention of our customer service department. However, we realize that there may be rare cases where we may not be able to resolve an issue to a customer's satisfaction.

Any dispute arising out of or in connection with the Terms and Conditions shall be resolved amicably. In case of impossibility to reach an agreement, the dispute will be resolved by Vienna International Arbitral Centre (VIAC) of the Austrian Federal Economic Chamber by three arbitrators appointed in accordance with the said Rules in the absence of mandatory legal provisions to the contrary. The number of arbitrators shall be three; language of arbitration: English; place of arbitration: Republic of Estonia.

9. Refund and cancellation policy

You may cancel your appointment through the Platform at any time prior to the time of Services’ rendering (i.e. date of your appointment or video-conference with the Service provider) if you change your mind or for any other reason you decide you do not want to proceed with the appointment. Your right to receive a refund will depend on how far in advance you cancel your appointment or video-call as: the Service Providers start the provision of services before the appointment or video-call. This includes incurring costs in making the Service available to you (information processing, booking, staff allocation etc.).

Free cancellation is possible with at least 24 hours notice prior to the date of your appointment or video-conference. Email info@express.doctor for a refund.

Any refund the User is entitled to shall be effected within 30 (Thirty) calendar days after you notify us on your decision to cancel the Service.

10. Modification of the Terms

The Platform Administrator has the right to modify at any time and in any way any of the provisions of the Terms and Conditions or the Terms and Conditions in their entirety, without any prior notification and without being obliged to fulfill any other formality towards the Users. Any change will be considered to be fully and unconditionally accepted by any of the Users by simply using or accessing any facility offered by the Platform, occurring at any time after the operation of the change. Non-acceptance of any change entails the respective User's obligation to immediately stop accessing the Platform and/or using the Services in any way.
